Terms of Use (NEDIO)

These Terms of Use (the "Terms") govern your access to and use of NEDIO: the website and web app at https://nedio.xyz, and the NEDIO extension for Visual Studio Code, Cursor and other compatible editors (together, the "Service"). By using any part of the Service, you agree to these Terms.
The extension is also covered by the licence shipped with it, which governs what you may do with that software. Where that licence and these Terms both apply, the licence governs the software itself and these Terms govern your use of the Service through it.
If you do not agree, do not use the Service.

For some actions (such as creating an account or starting a Pro trial/subscription), we may ask you to confirm your agreement to these Terms and related policies in the Service UI.
1) Who we are
The Service is operated by HAYZI LTD, a company registered in England and Wales (company number 15955089), trading under the brand NEDIO ("NEDIO", "we", "us", or "our"). Registered office: 69 Highgate West Hill, London N6 6BU, United Kingdom. NEDIO provides a focus radio and session timer for listening to curated audio/soundscapes and running time-boxed focus sessions, available in the browser and through a compatible editor extension.
2) Eligibility
You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use the Service. If you are under 18 (or the age of majority where you live), you must have permission from a parent or legal guardian to use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Where we offer the Service
The Service is directed to users in the United Kingdom. We do not target, market, or offer the Service to individuals in the European Economic Area, and we do not monitor the behaviour of individuals in the European Economic Area.
The Service may be technically accessible from other countries. If you access it from outside the United Kingdom, you do so on your own initiative and are responsible for compliance with the laws that apply to you. We make no representation that the Service is appropriate or available for use in any particular country.
3) Accounts
You can use parts of the Service without an account. Creating an account may be required for certain features (for example, saving session history, streaks, stats, and managing a Pro subscription).
You agree to:
- provide accurate information (including a valid email address),
- keep your account secure, and
- notify us promptly of unauthorized access or use.
You are responsible for activity that occurs under your account.
4) Subscriptions, trials, and billing (NEDIO Pro)
Free plan
The free plan includes limited listening time per day (as shown in the Service). Limits may change over time.
Pro trial and subscription
NEDIO Pro is offered on a monthly or an annual billing period, and the period you chose is shown at checkout together with the amount and the renewal date. If you start a NEDIO Pro trial or paid subscription, you authorize us and our payment processor (Stripe) to charge your payment method according to the pricing and billing terms presented to you at checkout (for example, a free trial period followed by a recurring monthly or annual subscription).
Unless stated otherwise at checkout:
- subscriptions renew automatically each billing period — monthly or annually, whichever you chose — until canceled,
- you can cancel at any time via the billing portal or account settings,
- cancellation typically takes effect at the end of the current billing period (you may retain access until then), and
- if you move between the monthly and annual plan, the change takes effect immediately and Stripe credits the unused part of the period you have already paid for against the new one.
No refunds
All fees are non-refundable, except where required by applicable law.
Taxes and fees
The price shown at checkout is the total amount you will be charged. Where any tax applies to your purchase, it is included in that price unless we state otherwise at checkout. Your bank or card issuer may separately charge you for currency conversion, which is outside our control.
Changes to pricing or plans
We may change prices, features, or availability of plans. If a change applies to your subscription, we will provide notice where required by law and/or through the Service.
Digital content and right to cancel (UK consumers)
If you are a consumer in the United Kingdom, by starting a trial or subscription you request immediate access to the Service (digital content). You acknowledge that once the Service is made available to you, you may lose your statutory right to cancel for digital content, to the extent permitted by law. This does not affect any rights you have if the Service is not as described or where mandatory law provides additional rights.
5) Acceptable use
You agree not to:
- violate any law or regulation,
- reverse engineer, decompile, or attempt to discover source code except to the extent permitted by law,
- interfere with or disrupt the Service (including scraping, probing, or load-testing without permission),
- bypass or attempt to bypass usage limits, paywalls, access controls, or security features,
- use the Service to transmit malware or harmful code,
- access other users’ data without authorization, or
- use the Service in a way that infringes intellectual property rights.
We may suspend or terminate access if we believe you have violated these Terms.
6) Streaming and audio availability
The Service streams audio over the internet. Playback may depend on your device, browser, and network connection. We do not guarantee uninterrupted availability, specific audio quality, or that a particular station/track will always be available.
7) Your content
What you write in the app
The Service invites you to write things down: a sprint goal, what "done" means for it, a reflection note, a next step to pick up later. That content is yours. We do not claim ownership of it.
You grant us only the licence we need to run the Service for you — to store your content, show it back to you, and compute the stats, streaks and reviews the product exists to provide. That licence ends when the content is deleted.
How this content is handled, including when a line you wrote may be sent to a language model provider and how to turn that off, is described in our Privacy Policy.
Please keep these fields to what they are for. They are notes about your work, not a secure store: do not put passwords, payment details, government identifiers, health information, or anyone else's personal information in them.
Support messages
If you contact us through the Service, you may submit text and attachments (for example, screenshots or logs). You represent you have the right to submit that content and that it does not violate law or third-party rights.
You grant us a limited licence to use that content solely to provide support, troubleshoot, and improve the Service.
Do not submit sensitive information that you do not want processed for support (for example, passwords, full payment card numbers, or government IDs).
Reviews, insights and other generated text
Parts of the Service describe your own activity back to you — weekly reviews, observations, and similar summaries. Some of that wording is produced by an automated system, including a language model.
This output is a description of numbers we counted, not advice. It is provided as-is, may be wrong or incomplete, and is not professional, medical, psychological or financial advice. Do not rely on it as though it were. Nothing generated about your work changes your rights under these Terms or under consumer law.
8) Intellectual property
The Service, including its design, software, branding, and content, is owned by NEDIO or its licensors and is protected by intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial use.
You may not copy, modify, distribute, sell, lease, or create derivative works from the Service or any part of it, except as explicitly permitted by these Terms or by law. In particular, the audio is licensed to you for listening within the Service only: you may not download, redistribute, re-upload, or use it in your own recordings, videos, streams or other works.
Some audio in the Service is produced with third-party generative tools, and our rights in it — and therefore the rights we can grant you — are subject to the terms of those tools. Nothing in this section grants you any right in that audio beyond listening to it through the Service.
9) Third-party services
The Service may integrate with third-party services (for example, authentication providers, analytics providers, and payment processing). Your use of third-party services may be governed by their own terms and privacy policies. We are not responsible for third-party services.
10) Privacy
Our Privacy Policy explains how we collect and use information. By using the Service, you acknowledge our Privacy Policy located at Legal Docs/Privacy Policy.md (and, if published, any equivalent page on our website).
11) Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
NEDIO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEDIO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEDIO’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO NEDIO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU HAVE NOT PAID ANYTHING, $50).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13) Indemnification
To the maximum extent permitted by law, you agree to indemnify and hold harmless NEDIO from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service or violation of these Terms.
14) Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, pose a risk to the Service, or where required by law.
Termination does not affect any rights or obligations that by their nature should survive (including Sections 8, 11–15).
15) Governing law and venue
These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles.
You agree that disputes arising out of or relating to these Terms or the Service will be brought exclusively in the courts of England and Wales, and you consent to their jurisdiction.
16) Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other means as required by law. Continued use of the Service after changes become effective means you accept the updated Terms.
17) Assignment and transfer
We may assign, transfer, or otherwise deal with our rights and obligations under these Terms (in whole or in part) to any affiliate or successor as part of a corporate reorganisation, asset transfer, or business sale. Where required by law, we will notify you of the transfer. Your rights under these Terms will not be materially reduced as a result of any such assignment or transfer.
